Please read these Terms and Conditions carefully before using the Stockify Distribution ERP platform. By accessing or using our services, you agree to be bound by these terms.

1. Acceptance of Terms

By accessing or using the Stockify Distribution ERP platform, you confirm that you are at least 18 years old, have the authority to enter into these Terms on behalf of yourself or your organization, and agree to be bound by these Terms and Conditions and our Privacy Policy. If you do not agree, please discontinue use of our platform immediately.

2. Description of Service

Stockify provides a cloud-based Distribution ERP software platform that includes inventory management, sales and invoicing, delivery tracking, recovery management, accounting, and reporting tools. We reserve the right to modify, suspend, or discontinue any feature of the service at any time, with or without notice, though we will make reasonable efforts to communicate significant changes.

3. User Accounts and Registration

To access certain features of Stockify, you must create an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account. We reserve the right to suspend or terminate accounts that violate these terms.

4. Payment Terms and Billing

Stockify operates on a subscription-based pricing model. Subscription fees are billed in advance on a monthly or annual basis. All fees are non-refundable unless otherwise stated. We reserve the right to change our pricing with 30 days notice. Failure to pay subscription fees may result in suspension of your account. All prices are exclusive of applicable taxes.

5. Intellectual Property Rights

Stockify and its licensors own all intellectual property rights in the platform, including software, design, trademarks, logos, and documentation. You are granted a limited, non-exclusive, non-transferable license to use our platform for your business purposes. You may not copy, modify, distribute, sell, or lease any part of our services or included software, nor may you reverse engineer or extract the source code.

6. Prohibited Uses

You agree not to use Stockify for any unlawful purpose; to transmit harmful, fraudulent, or misleading data; to interfere with system security; to scrape, harvest, or crawl our platform without authorization; to impersonate any person or entity; to engage in spam or unsolicited communications; to violate any applicable local, national, or international law or regulation; or to use our platform to compete against us.

7. Data Privacy and Protection

You retain ownership of all data you input into Stockify. We act as a data processor on your behalf and will handle your data in accordance with our Privacy Policy and applicable data protection laws. You are responsible for ensuring that your use of our platform complies with all applicable privacy regulations and that you have obtained necessary consents from individuals whose data you process.

8. Service Availability and Modifications

We strive to maintain 99.9% uptime but do not guarantee uninterrupted access to our services. Scheduled maintenance will be communicated in advance. We may modify, update, or add features to the platform at our discretion. We will make commercially reasonable efforts to ensure that core functionality remains available and that any downtime is minimized and communicated promptly.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Stockify shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, data, or goodwill. Our total liability to you for any claims arising from your use of the platform shall not exceed the amount paid by you in subscription fees during the 12 months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless Stockify and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including legal fees) arising from your use of the platform, violation of these Terms, infringement of any intellectual property rights, or violation of any applicable law or regulation.

11. Termination of Service

Either party may terminate this agreement at any time. You may cancel your subscription at any time through your account settings or by contacting support. We reserve the right to terminate or suspend your access immediately, without prior notice, for violation of these Terms. Upon termination, your right to use the platform ceases and we will handle your data in accordance with our data retention policy.

12. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Pakistan. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Karachi, Pakistan. Both parties agree to submit to the personal jurisdiction of such courts and waive any objection to such jurisdiction or venue.

13. Dispute Resolution

Before initiating formal legal proceedings, both parties agree to attempt to resolve any disputes through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the Arbitration Act of Pakistan. The arbitration shall be conducted in Karachi, in the Urdu or English language, as agreed by both parties.

14. Force Majeure

Stockify shall not be liable for any failure or delay in performance of its obligations under these Terms if such failure or delay is caused by circumstances beyond our reasonable control, including but not limited to natural disasters, government actions, civil unrest, internet or infrastructure failures, power outages, or any other event of a similar nature (force majeure events).

15. Entire Agreement and Severability

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Stockify regarding your use of the platform and supersede all prior agreements. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force. Our failure to enforce any right or provision of these Terms shall not be considered a waiver of those rights.
